Yodayo Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Yodayo.com and the AI, community, creator, model, media-generation, and other services made available through Yodayo (collectively, the “Service”).

In these Terms, “Yodayo,” “we,” “our,” and “us” mean SYR CORP.

By creating an account, accessing the Service, purchasing a product, or otherwise using Yodayo, you agree to these Terms and our Privacy Policy, Content Policy, and any additional policies that apply to a feature you use.

If you do not agree, do not use the Service.

1. Age Requirement

You must be at least 18 years old to create an account or use Yodayo.

By accessing the Service, you represent that:

• you are at least 18 years old;
• you have legal capacity to enter into these Terms; and
• your use of Yodayo is permitted under the laws applicable to you.

If we reasonably believe that an account is being used by a person under 18, we may restrict, suspend, or terminate that account.

You must not use Yodayo to create sexualized or exploitative representations of minors or persons presented as minors.

All characters depicted or represented in sexual or adult contexts must be adults.

2. Your Account

Some features require an account.

You agree to provide accurate information and keep your account information reasonably current.

You are responsible for safeguarding your password, protecting authentication credentials, activity occurring through your account, and notifying us promptly of suspected unauthorized access.

You may not impersonate another person, create an account using information you do not have permission to use, sell or transfer an account without authorization, use another person's account without permission, or circumvent an account suspension or ban.

We may require additional verification where reasonably necessary for security or compliance.

3. The Yodayo Service

Yodayo provides features that may include:

• AI character chat;
• roleplay;
• characters and scenarios;
• image generation;
• image tools;
• video generation;
• music generation;
• voice features;
• models and LoRAs;
• model training;
• creator tools;
• community posts;
• recommendations;
• subscriptions;
• virtual credits; and
• other AI and entertainment features.

Features may be added, removed, modified, limited, or discontinued from time to time.

We do not guarantee that any particular model, feature, price, credit cost, generation method, or functionality will remain available indefinitely.

4. Artificial Intelligence

Yodayo uses generative artificial intelligence.

AI-generated content may contain errors, be inaccurate, repeat information, produce unexpected results, resemble existing material, be offensive or objectionable, or fail to follow your prompt.

You are responsible for reviewing outputs before relying on, publishing, or using them.

AI responses do not constitute professional medical, legal, financial, psychological, or other professional advice.

You should not rely on AI-generated material for decisions requiring professional expertise.

5. User Content

“User Content” includes content you upload, submit, publish, create, or otherwise provide through Yodayo, including prompts, chat messages, images, videos, audio, characters, scenarios, model files, LoRAs, posts, comments, profile information, and other materials.

You retain any ownership rights that you legally possess in your User Content.

You are responsible for your User Content and for ensuring that you have the rights necessary to submit it.

6. License You Give Yodayo

By submitting User Content to Yodayo, you grant SYR CORP a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, process, modify as technically necessary, transmit, display, distribute, and otherwise use that User Content as reasonably necessary to:

• operate Yodayo;
• provide AI generation;
• provide chat functionality;
• display content you choose to publish;
• provide community features;
• maintain and secure the Service;
• moderate content;
• prevent fraud or abuse;
• troubleshoot technical problems;
• provide recommendations; and
• exercise rights expressly granted by these Terms.

For publicly posted User Content, this license includes the right to display and distribute the content as part of Yodayo's community and creator features.

If you delete User Content, the license generally ends when the content is removed from our active systems, except where another user has shared or incorporated it, retention is required by law, retention is reasonably necessary for security or enforcement, backups have not yet cycled out, or another provision of these Terms permits continued processing.

7. AI-Generated Content

Subject to applicable law and third-party rights, Yodayo does not claim ownership of AI-generated output solely because it was generated through the Service.

Your ability to obtain intellectual-property protection for AI-generated content depends on applicable law and may vary by jurisdiction.

Yodayo does not guarantee that generated content is copyrightable, that you will have exclusive rights in generated content, that another user will not receive similar output, or that generated content will not resemble third-party material.

You are responsible for determining whether your intended use of generated content is lawful.

8. Public Content and Community Features

Certain Yodayo features allow User Content to be published publicly.

When you make content public, other users may view it, others may interact with it, it may be shared, it may appear in search or recommendations, and users may copy or save publicly accessible material.

Do not publish information you want to remain private.

9. Content Rules

Your use of Yodayo is subject to our Content Policy.

You may not use the Service to create, upload, distribute, solicit, or promote content that violates applicable law or Yodayo's policies.

Without limiting the Content Policy, prohibited uses include content involving:

• child sexual abuse or exploitation;
• sexualized minors;
• trafficking or exploitation;
• non-consensual sexual material;
• unlawful threats;
• promotion of terrorism;
• targeted harassment;
• hateful conduct prohibited by our policies;
• instructions facilitating serious criminal activity;
• malware;
• fraud;
• infringement of intellectual-property rights; or
• other content prohibited by applicable law.

Content permitted in one area of Yodayo may be restricted from public posting or from another product surface.

You are responsible for reviewing the Content Policy applicable to the feature you use.

10. Moderation

We may use automated systems and human reviewers to identify content or conduct that may violate our policies.

We may classify content, reduce its visibility, apply age or content restrictions, remove content, block prompts, disable models, restrict features, temporarily suspend accounts, or permanently terminate accounts.

Moderation systems are not perfect.

Where available, you may report an error or appeal an enforcement action.

Nothing in these Terms obligates us to host or distribute any particular User Content.

11. Prohibited Conduct

You may not interfere with the Service, attempt unauthorized access, introduce malware, bypass safety systems, circumvent rate limits, circumvent payment controls, scrape Yodayo without authorization, use automated systems in a manner we have not authorized, reverse engineer proprietary portions of the Service except where law expressly permits, fraudulently obtain subscriptions or credits, manipulate community engagement, impersonate Yodayo personnel, use the Service to violate another person's rights, or use Yodayo for unlawful activity.

We may impose technical limitations to protect the Service and other users.

12. Models and Third-Party Services

Yodayo may provide access to models, APIs, infrastructure, or services supplied by third parties.

Third-party technology may be subject to additional license terms or restrictions.

We may add or remove models, change providers, modify pricing, change generation costs, impose usage limits, or discontinue a third-party integration.

We are not responsible for independent third-party websites or services.

13. Virtual Credits

Yodayo may provide or sell virtual credits or similar digital units.

Virtual credits may be used only within the Service, are not legal tender, are not a bank deposit, have no cash value except where required by law, may not be transferred except where Yodayo expressly permits, and may be subject to expiration, promotional conditions, or usage rules disclosed when issued.

The number of credits required for a particular service may change based on model cost, compute requirements, third-party pricing, feature configuration, and promotional offers.

Purchasing credits does not guarantee continued availability of a particular model or feature.

14. Subscriptions

Certain features may require a paid subscription.

Subscription terms, pricing, billing interval, and included benefits will be disclosed at the time of purchase.

Unless otherwise stated:

• subscriptions automatically renew where permitted;
• renewal occurs at the then-applicable price;
• you must cancel before renewal to avoid a subsequent charge; and
• cancellation generally prevents future renewals but does not retroactively cancel the current paid period.

Subscription benefits may change as Yodayo's models and services evolve, provided that we comply with applicable law.

15. Payments

Payments may be processed through third-party payment processors.

You authorize us and our payment providers to charge the payment method associated with your purchase.

You are responsible for applicable taxes, accurate billing information, authorized use of your payment method, and charges incurred through your account.

Fraudulent payments, abusive chargebacks, or attempts to manipulate payment systems may result in restrictions or termination.

16. Refunds

Purchases are subject to our Refund Policy and applicable consumer law.

Except where required by law or expressly stated in the Refund Policy, digital purchases may be non-refundable once credits, subscriptions, or digital services have been delivered or consumed.

17. Intellectual Property

Except for User Content and third-party materials, Yodayo and its licensors own the Service and associated intellectual property.

This includes, as applicable, software, interfaces, designs, trademarks, logos, databases, proprietary algorithms, documentation, website content, and underlying technology.

These Terms do not transfer ownership of Yodayo intellectual property to you.

You receive a limited, revocable, non-exclusive, non-transferable right to access the Service for its intended purpose while these Terms remain in effect.

18. Copyright and Other Rights

You must respect copyrights, trademarks, privacy rights, publicity rights, and other legal rights.

If you believe content available through Yodayo infringes your copyright or other intellectual-property rights, contact [email protected].

Your notice should include information reasonably necessary for us to identify the work, content, and basis of your claim.

We may remove content and restrict repeat infringers where appropriate.

19. Feedback

If you voluntarily provide suggestions, ideas, or feedback about Yodayo, you grant us a perpetual, worldwide, royalty-free right to use that feedback without obligation to compensate you.

This does not give us ownership of unrelated User Content.

20. Privacy

Our Privacy Policy explains how we collect and process personal information.

By using the Service, you acknowledge our Privacy Policy.

21. Security

You may not attempt to gain unauthorized access to accounts or systems, probe security vulnerabilities without authorization, disrupt infrastructure, evade account restrictions, extract authentication credentials, or interfere with other users' access.

If you discover a potential security vulnerability, please report it responsibly to us.

22. Suspension and Termination

You may stop using Yodayo at any time.

We may restrict, suspend, or terminate access where we reasonably believe you violated these Terms or our Content Policy, your account creates a security risk, your activity is fraudulent, your use may expose us or others to legal liability, continued service is prohibited by law, or action is reasonably necessary to protect Yodayo or its users.

For serious violations, termination may occur without advance notice.

Upon termination, your right to use the Service ends.

Sections that by their nature should survive termination will remain effective, including provisions concerning intellectual property, liability, indemnification, dispute resolution, and amounts owed.

23. Service Availability

Yodayo is continuously evolving.

We do not guarantee uninterrupted availability, permanent availability of a model, preservation of any particular feature, response quality, generation speed, model behavior, uptime, or permanent storage of User Content.

You should maintain independent copies of important content.

We may perform maintenance or change infrastructure without notice where reasonably necessary.

24. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YODAYO AND THE SERVICE ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

SYR CORP DISCLAIMS WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND RELIABILITY.

WE DO NOT WARRANT THAT THE SERVICE WILL ALWAYS BE AVAILABLE, AI OUTPUT WILL BE ACCURATE, OUTPUT WILL BE UNIQUE, CONTENT WILL BE FREE OF ERRORS, THE SERVICE WILL MEET YOUR EXPECTATIONS, OR DEFECTS WILL ALWAYS BE CORRECTED.

Nothing in these Terms excludes warranties or consumer rights that cannot lawfully be excluded.

25. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYR CORP AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF YODAYO.

THIS INCLUDES LOSS OF PROFITS, REVENUE, DATA, CONTENT, GOODWILL, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYR CORP'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF:

• THE AMOUNT YOU PAID TO YODAYO DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
• US $100.

Some jurisdictions do not permit certain limitations, so these provisions may not apply to you in full.

26. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless SYR CORP and its affiliates, directors, officers, employees, contractors, and agents from third-party claims arising out of User Content you submit, your unlawful use of Yodayo, your material violation of these Terms, your infringement of another person's rights, or fraud or intentional misconduct.

This obligation does not apply to the extent a claim results from SYR CORP's own unlawful conduct.

27. Changes to Yodayo

We may modify the Service to reflect technological developments, model availability, provider changes, safety requirements, business requirements, legal obligations, or user feedback.

We are not obligated to continue providing a particular model, feature, or product indefinitely.

28. Governing Law

Except where mandatory consumer law provides otherwise, these Terms and disputes arising from them are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.

29. Informal Dispute Resolution

Before filing a lawsuit concerning the Service, you and SYR CORP agree to make a good-faith attempt to resolve the dispute informally.

You may send a written notice describing the dispute to [email protected].

The Parties will have thirty (30) days after receipt of the notice to attempt informal resolution.

Nothing in this Section prevents either Party from seeking urgent injunctive relief where necessary to prevent immediate harm.

30. Venue

Except where applicable consumer law requires otherwise, disputes not resolved informally shall be brought in a court of competent jurisdiction located in Delaware, United States.

You and SYR CORP consent to the jurisdiction of those courts to the extent permitted by law.

31. International Users

Yodayo operates internationally.

You are responsible for complying with laws applicable where you live.

Where mandatory consumer protection law in your jurisdiction provides rights that cannot be waived by contract, those rights remain unaffected.

32. U.S. Trade Restrictions

You may not use the Service if doing so would cause SYR CORP to violate applicable U.S. sanctions or export-control laws.

You represent that you are not prohibited from receiving the Service under applicable U.S. law.

33. No Partnership or Agency

Your use of Yodayo does not create a partnership, agency, employment relationship, franchise, fiduciary relationship, or joint venture between you and SYR CORP.

34. Assignment

You may not assign your rights under these Terms without our written permission.

We may assign these Terms as part of a corporate restructuring, merger, acquisition, financing, transfer to an affiliate, or sale of all or substantially all of the relevant business or assets.

35. Severability

If a provision of these Terms is found unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will continue in effect.

36. No Waiver

Failure to enforce a provision does not waive our right to enforce it later.

37. Entire Agreement

These Terms, together with the Privacy Policy, Content Policy, Refund Policy, and any feature-specific terms incorporated by reference, constitute the agreement between you and SYR CORP concerning the Service.

38. Changes to These Terms

We may revise these Terms from time to time.

If we make a material change, we may provide notice through Yodayo, email, an account notification, or another reasonable method.

The updated Terms will identify their effective date.

Continued use of Yodayo after revised Terms become effective constitutes acceptance of those Terms where permitted by law.

If you do not agree to the revised Terms, you should stop using the Service.

39. Translations

We may provide translations of these Terms for convenience.

If a translated version conflicts with the English version, the English version controls to the extent permitted by applicable law.
